This skyrocketing retail chain expansion has been continuing on in spite of Puerto Rico’s government Department of Justice Office of Monopolistic Affairs, which has been unable to stop Walgreens’ growth since it arrived in 1962. Since then, Walgreens has remained in the territory.
- The same office has also seen the rapid rise of Walmart ever since the company entered the regional market in 1992 and acquired Amigo Supermarkets in 2004.

- When there is reason to believe that a corporation may be abusing its power in the local market, the Puerto Rico Monopolistic Affairs Office compiles information regarding the business competitive practices and refers the case to the Secretary of Justice.
The Monopolistic Affairs Office was established by a law in 1964. In most states, the department known as the Monopolistic Affairs Office serves the same function as the Antitrust Office. In 2002, the government voiced its opposition to Walmart’s ambitions to acquire the Amigo Supermarket chain by filing a legal complaint in accordance with the Monopoly Law.
- However, at the time, the Secretary of Justice, Anabelle Rodriguez, made the decision that Walmart may purchase part of the Amigo stores as long as the company maintained the same number of employees and the same supply of Puerto Rican agricultural goods that the Amigo stores had previously.
- In 2005, the antitrust office initiated an inquiry to assess the extent to which the local market was impacted by the commercial activities of transnational chains.
After the overturn of the Certificates of Necessity and Convenience that were required to any drugstore interested in doing business in Puerto Rico, whether it was a local drugstore or a foreign drugstore, the skyrocketing trend of offshore drugstores settling on the Island sparked the inquiry that led to the opening of the investigation.
The certificate used the number of pharmacies that are packed into one square mile as well as the requirements of the region to decide where the new business should set up shop. These certifications were later rendered unnecessary. The results of this inquiry have not been made public as of this date, and the CPIPR has been unsuccessful in its attempts to view the files of this investigation on many occasions.
Jes Alvarado, Deputy Secretary for the Monopolistic Affairs Office, disclosed to the CPIPR that he had submitted a request for the investigative files from 2005. These data are now stored in an inactive archive that is housed outside of the Department of Justice.
During the interview, he revealed that he already has nine boxes of documents related to the investigation in his office. He also gave his assurance that he would release the information as soon as he reviewed all of the documents to ensure that they do not contain any confidential information regarding the corporation.
According to Alvarado, this is an inquiry on the pharmacy market in Puerto Rico in its whole, encompassing both neighborhood and chain shops. He asserted that it is exceedingly challenging to determine whether or not a monopolistic business activity is prohibited.
- “I know that Walgreens’ case, for example, like the case with Walmart or other chains which could be described as having a wide presence in the Island, the notion that they have a monopoly and if they are infringing or not the law by being a monopoly has been brought up,” he said.

This is because there are many different competitive factors that can lead to a company having a monopoly.
It may be coincidence, or it could be due to the fact that there were three firms competing in one market, but two of them went out of business, leaving just one company in the market, and that company did nothing to steal customers from the other companies “, he added. According to Vicente-Mestre, there were 58 Walgreens located around the island of Puerto Rico in the year 2005.
She stated that the number increased by a factor of two once the necessity for a certificate was removed. “The number of people who would be serviced within a radial mile and the total number of prescriptions that would be filled were also factors that were considered for the Certificate of Necessity and Convenience.

Fusté wrote in his decision that “Puerto Rico’s AMT, on its face, clearly discriminates against interstate commerce.” In December of 2015, Wal-Mart PR, the Puerto Rico branch of the venerable Wal-Mart chain, filed a lawsuit against the Commonwealth of Puerto Rico in an effort to overturn certain new tax laws that the retailer claimed were discriminatory and violated both federal laws and the U.S.

- Instead than continuing to pay the tax and submitting a claim for a refund at some point in the future, the court decided that immediate injunctive relief was a more suitable remedy for Wal-Mart PR because of the reasons stated above.
